• Provides counseling on, and documentation of, client's rights and responsibilities relative to extraordinary corporate matters or special transactions such as business reorganizations acquisitions and mergers, dissolution, real estate, investments and land development contracts, and joint ventures.
• Provides legal assistance in matters requiring or involving governmental licenses and authorizations, registration of documents and transactions with regulatory agencies, litigation and other proceedings before administrative and quasi-judicial bodies.
• Legal advise concerning employment policies, review of employment contracts and retirement programs and other matters affecting labor standards.
• Acts as corporate secretary which entails attendance at board and stockholders meeting, advise and counseling during said meetings, preparation and keeping of minutes, resolutions and stock transfer books, issuance and stock certificates and documentation of stock transfer transactions.
• Gives advice on reducing the impact of taxation; Planning and creation of entities designed to optimize the incidence and impact of taxation on the client’s business.
• Provides legal assistance for special projects such as compliance issues (bidding requirements) and (service or supply) contracts with government agencies such as the Department of Energy
